## One clean open act — no attorney in the loop, so nothing to fake

Forming a company is document assembly plus a ministerial filing. You choose the entity, the state, the registered agent; your facts assemble into a certificate, and the certificate is filed with the state. No licensed judgment is exercised anywhere in that path — which is exactly why the law treats it as an open act (the LegalZoom position), not a reserved one.

On api.lawyer that is a single ratified row: de_formation_filing, credentialType none, reserved false, gate none. The filing never posts a Gig, so there is no attorney and no signature to wait on — and no reserved layer for anyone to fake. We sell the act itself, at a flat price, and we stop there.

We never bolt a human "review" onto an open act to justify a fee. One act, one fee. The moment a decision needs licensed judgment — which entity is right for you — we say so, and we hand you to an independent attorney instead of charging you for a review that is really just advice wearing a costume.

  A Delaware entity must name a registered agent. The provider’s own annual fee is passed through at cost; renewal in later years is billed by the provider directly.
- **EIN (federal)** — _Internal Revenue Service_
  The IRS charges nothing for an EIN, so there is nothing to pass through — obtaining it is part of the flat act, at no added cost.
- **Annual franchise tax / report** — _State of Delaware (recurring)_
  Paid directly by you to the state each year at the state’s cost. It never touches us as a fee — we only watch the deadline (see below).

Pass-Through means at cost. If our own error ever causes a government fee, we bear it — you never pay for our mistake.
